Terms and conditions

1. General

1.1 This agreement describes the rights and obligations of the customer and LoopWord (part of OnLine Translation) in connection with the services provided by LoopWord via this website.

1.2 LoopWord is a web-based translation tool owned by DEJS Holding ApS, licensed to OnLine Translation.

1.3 When the customer subscribes to LoopWord, the customer agrees to the terms of this agreement and the agreement is confirmed each time the customer uses LoopWord.


2. Conditions applicable to the use of LoopWord

2.1 The Customer undertakes to register in LoopWord with correct information, including name, address and other necessary information.

2.2 Companies subscribing to a group license must appoint one or more group administrators who create users and assign passwords and user IDs.

2.3 A Group License belongs to one legal entity. Users from other legal entities cannot be assigned to it. However, external translators (freelancers) can be assigned to the group for a given period.

2.4 The Customer can at any time manage the number of licenses via its Stripe Account. Changes in the number of licenses will immediately adjust the subscription price pro-rata and changes will take effect immediately.


3. registration policy

3.1 LoopWord stores the customer’s basic information (name, address, e-mail) as long as there is a customer relationship.

3.2 LoopWord stores documentation for purchases in accordance with the Bookkeeping Act for five years. The customer can at any time gain insight into its registered information against any administration fee.

3.3 All information is treated confidentially and will not be disclosed to third parties, see separate privacy policy.


4. Unfinished registrations

4.1 If you start but do not complete the registration of an Account, we will:

  • Keep your registration details for 30 days to allow you to complete the process.

  • Automatically anonymize your data after 30 days so it can no longer be attributed to you.

  • Permanently delete all data, including anonymized data, after 90 days.

4.2 Business purposes: Anonymized data is used solely to improve our registration process and to understand patterns in the user experience.

4.3 Your rights: You may at any time request immediate deletion of incomplete registration data by sending an e-mail to kontakt@loopword.com.


5. Customer’s default

5.1 LoopWord may terminate the agreement without notice in case of breach of the agreement, false information or abuse. Accounts that are closed due to material breach cannot be reopened without LoopWord’s prior consent.

5.2 In case of material breach, including non-payment or bankruptcy, LoopWord may close access to the service without notice.


6. Responsibility

6.1 All intellectual property rights to LoopWord are owned by DEJS Holding ApS and are licensed to OnLine Translation. The customer does not acquire copyrights.

6.2 LoopWord is liable according to the general rules of Danish law with the following limitations:

  1. No liability for indirect losses, including loss of profit and loss of production.

  2. No financial responsibility for incorrect translations.

  3. The customer assumes responsibility for the copyright of its own terms and segments.

  4. LoopWord’s total liability cannot exceed the amount paid by the customer for the relevant task.

6.3 LoopWord reserves the right to continuously update and improve the service.


7. Safety and security

7.1 LoopWord secures customer information with relevant security procedures and is hosted by Hetzner Online GmbH(www.hetzner.com). The customer must protect passwords and log off after use.

7.2 Card information is handled by Stripe and LoopWord has no access to this information.


8. privacy policy

8.1 LoopWord has a separate privacy policy that regulates the processing of personal data.


9. Responsibility for content

9.1 Customer is responsible for all content, including translations, terms and segments stored or shared by users associated with Customer’s account or group license.

9.2 LoopWord assumes no responsibility for the accuracy, quality, legality or any infringement of third party rights.

9.3 The customer must ensure that users comply with applicable laws and rights when using LoopWord.


10. Transaction information

10.1 The Customer can view all payment transactions, changes and invoices directly in their Stripe Account at any time.

10.2 LoopWord does not store transaction data. All transaction history is stored in Stripe. LoopWord only processes transaction confirmations for the purpose of informing the customer when a payment has been completed.


11. Ownership of terms and segments

11.1 All terms and segments are owned by the Customer. Upon termination, the customer must extract their data themselves. Failing this, they will be deleted by LoopWord.


12. Support

12.1 Users with a full license have access to LoopWord Support.


13. New development

13.1 LoopWord continuously develops new features. Some are included in support and upgrades, others are sold as separate modules or as additional services on a license basis.


14. prices

14.1 All current prices and discounts are stated on LoopWord’s website and displayed upon registration.

14.2 The price stated in the order cannot be changed for the period in question.

14.3 LoopWord reserves the right to adjust prices on Support & Upgrade corresponding to the price development.

14.4 Upon addition or reduction of licenses, the price is immediately adjusted pro-rata via Stripe.


15. Termination and change of subscription

15.1 The Customer may terminate the subscription at any time via their Stripe Account. The termination will take effect at the end of the current subscription period (monthly or annual). No refund will be granted for the remaining period and access will be closed.

15.2 The Customer can via Stripe continuously add or remove licenses and change the subscription form. Price changes take effect immediately pro-rata.

15.3 Upon termination, the customer’s login information for LoopWord will no longer function and access to the Customer Portal will cease. Transaction data and invoices remain stored in Stripe, but are not accessible via LoopWord when the subscription is terminated.


16. force majeure

16.1 LoopWord is not responsible for non-delivery or interruption due to circumstances beyond LoopWord’s control, including server crashes, internet errors, natural disasters, war, strikes, lockouts and epidemics.


17. Transfer of the subscription agreement

17.1 LoopWord may transfer the agreement to affiliated companies or by transfer of the business.

17.2 The Customer may not transfer rights or obligations under the Agreement.


18 Disputes

18.1 Disputes shall be settled in accordance with Danish law with the Court in Kolding as the venue.
